2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

3. Services Provided

Echor Research offers technology consulting, digital strategy, AI optimization, and related services. The scope, pricing, and timeline of specific projects will be outlined in individual service agreements or proposals.

4. Fees & Payment

All fees are due in accordance with the terms stated in your invoice or contract.

No Refunds: All payments are final. We do not offer refunds, partial refunds, or credit toward future services.

5. Performance Disclaimer

No Guarantee of AI Mentions: We do not guarantee any increase in website mentions on any AI-powered search, discovery, or content generation platform.

Traffic & Ranking Disclaimer: We are not responsible for any changes to website traffic, search index rankings, keyword positions, AI responses, or any other metrics—whether positive or negative—resulting directly or indirectly from our Services.

Results vary based on factors beyond our control, including but not limited to third-party algorithms, industry competition, and market conditions.

6. Client Responsibilities

You agree to:

Provide accurate and complete information necessary for the delivery of our Services.

Obtain all rights, licenses, and permissions required for us to perform our work.

Use our Services in compliance with applicable laws and regulations.

7. Intellectual Property

Unless otherwise stated in a separate agreement, all intellectual property created by Echor Research during the engagement remains our property until full payment is received.

Upon payment, certain deliverables may be transferred to the Client, as defined in the applicable project agreement.

8. Third-Party Services & Tools

We may integrate or recommend third-party platforms, software, or tools. These are subject to their own terms of service. We are not liable for the actions, failures, or availability of any third-party providers.

9. Limitation of Liability

To the fullest extent permitted by law:

Echor Research shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or opportunities, even if advised of the possibility of such damages.

Our maximum aggregate liability for any claim shall not exceed the total amount you paid to us for the Services giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Echor Research, its officers, employees, and contractors from and against all claims, liabilities, damages, losses, and expenses arising from your use of our Services or your violation of these Terms.

11. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information obtained during the course of the engagement, unless disclosure is required by law.

12. Termination

We may terminate or suspend Services at any time if you breach these Terms or fail to make timely payments. Upon termination, any outstanding amounts become immediately due.

13. Force Majeure

We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, labor disputes, internet outages, or governmental actions.

14. Governing Law

These Terms are governed by and construed under the laws of the State of Connecticut, USA, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of New Haven, CT.

15. Changes to These Terms

We may update these Terms at any time. Continued use of our Services after changes take effect constitutes your acceptance of the updated Terms.
